The purpose and role of the Board is to oversee the stewardship, accountability and leadership of PTS.
Location: Westminster, London
Remuneration: This is an unpaid voluntary role, however reasonable expenses may be reimbursed
Time Commitment: Four board meetings per year (with each meeting lasting around two and a half hours). Plus, attendance of occasional events and meetings with key stakeholders

About the role
Passage Trading Service’s core business is the operation of the conference venue Cathedral View, which generates income through room hire, roof garden hire and catering.
The current business model aims to meet financial and non-financial objectives. Going forward, Passage Trading Services hopes to enhance the current business operations and gradually expand its commercial portfolio, taking a test and learn approach to determine the most successful and deliverable combination that achieves the maximum ROI.
Main duties
- Support the trading team with the primary goal of raising funds for The Passage.
- Share knowledge and skills that will assist the trading team in their aim to reach new audiences/supporters/customers.
- Support the trading team to develop sustainable training or employment opportunities for people with lived experience of homelessness or other disadvantages.
- Assist in innovation of the commercial portfolio.
- To help mitigate Passage Trading Services against risk to the business operations.
- Advise on and recommend the annual budget and business plan.
Key responsibilities

The focus of the Board is to:
- Assist the Board of Passage 2000 through its oversight of PTS’ business plan.
- Ensure that all trading and commercial activities undertaken by PTS meet the agreed.
- definition of charitable trading as published by the National Council for Voluntary Organisations.
- Ensure that all trading and commercial activities of PTS meet some or all of the following criteria:
- Creates the opportunity to generate income to support Passage 2000
- Creates the opportunity to generate corporate awareness and new contacts
- Creates the opportunity to generate suitable engagement and employment options for Passage 2000 clients
- Ensure that PTS complies with the guidance given by its tax advisers in order to adhere to all regulatory requirements to ensure PTS and the Passage qualify for the relevant tax exemptions.
- Ensure that all profits generated by PTS are transferred to Passage 2000 to be utilised for charitable purposes.
- Monitor the formal arrangements for repayment of the loan advanced by Passage 2000 to PTS.
- Evaluate the feasibility of new opportunities to inform performance and future viability.
- Identify and embed resources and processes to effectively manage the PTS programme.
- Review the risk register for PTS.
- Ensure the timely return of PTS’ annual statutory accounts and other statutory filings.
